These Terms of Use (the “Terms”) constitute a legally binding agreement between the operator of NNE Briefing (“NNE”, “we”, “us”) and the individual or entity that accesses or uses the Service (“Customer”, “you”). The Service is offered as a business-to-business software product for agencies and professional teams, and is made available at nnebriefing.com, app.nnebriefing.com, api.nnebriefing.com, and on Customer-configured custom domains.
Acceptance. By creating an account, commencing a trial, activating a plan, redeeming a license code, or otherwise using the Service, you represent that you have read, understood and agree to be bound by these Terms. If you do not agree, you must not use the Service. The former product name “Briefly” has been discontinued. The product is offered solely as NNE Briefing.
1. Agreement and acceptance
1.1. NNE Briefing is a software-as-a-service platform that enables agencies, studios and professional teams to create branded briefing portals, collect responses and files from end clients, review submissions, send reminders, and administer project kick-off in a single workspace.
1.2. If you accept these Terms on behalf of an organization, you represent that you have authority to bind that organization. In that case, “Customer” means the organization.
1.3. Use of the Service by team members, administrators and any person to whom Customer grants access constitutes acceptance of these Terms on behalf of the relevant workspace. Customer is responsible for ensuring that its Users comply with these Terms.
1.4. Particular features may be subject to plan limits, add-ons, usage credits and operational policies described in the product interface, documentation and these Terms. In the event of conflict, the following order of precedence applies: (i) the commercial terms stated at checkout or on the applicable invoice; (ii) these Terms; and (iii) the product documentation.
2. Definitions
In these Terms:
- Service means the NNE Briefing websites, web application, API, public portals, transactional messaging and related features.
- Workspace means the Customer environment containing clients, portals, briefings, files, team members, billing and settings.
- User means a person with a workspace account (Owner, Admin or Member).
- End Client means a contact of Customer who completes a briefing portal via a magic link and who does not create an NNE Briefing account.
- Portal means a branded briefing page comprising questions, checklists, file requests and visual identity.
- Magic Link means a unique URL that permits an End Client to open a Portal without a password.
- Customer Content means data, text, files, logos, answers, comments and other materials submitted to the Service by Customer, Users or End Clients.
- Plan means Starter, Pro or Agency, offered on a monthly, annual or lifetime basis, as made available from time to time.
3. Eligibility and registration
3.1. The Service is intended solely for professional and commercial use. By registering, you represent that you have legal capacity and, where you act for an entity, that you are duly authorized to bind it.
3.2. Registration requires an agency name, email address and password (minimum six characters), or authentication through Google or Microsoft. Email verification is required for password-based registration.
3.3. Registration information must be accurate, complete and current. NNE may refuse, suspend or terminate accounts that contain false information, present a security risk, or are used in breach of these Terms.
3.4. NNE may temporarily close new registrations for operational reasons. In that event, the applicable notice will be displayed on the registration page.
3.5. Customer is responsible for maintaining the confidentiality of credentials, API keys and invitation links. Activity occurring under Customer’s account is deemed to have been authorized by Customer, unless Customer promptly notifies NNE at support@nnebriefing.com of unauthorized access.
4. The service
4.1. Subject to the applicable Plan, the Service may include:
- a drag-and-drop portal builder for questions, checklists and file requests;
- Magic Links, autosave and resume of End Client progress;
- approval and rejection workflows for answers and files, including comments;
- automated email reminders and, optionally, SMS and WhatsApp notifications;
- storage of agency and End Client files;
- custom domains and white-label features, including Customer SMTP;
- artificial-intelligence features for question suggestions and answer assistance;
- team management, role-based access (Agency Plan) and activity history;
- an open API, workspace API keys and outbound webhooks;
- integrations with third-party tools, including via Zapier and Make; and
- plan, add-on, invoice and billing-portal management.
4.2. NNE may modify, replace or discontinue features, provided that it uses commercially reasonable efforts to preserve the core functionality of a paid Plan during a period already paid. Material changes will be communicated through the Service or by email.
5. Accounts and authentication
5.1. Registration creates a Workspace. The initial account holder is the Owner and has full administrative control, including billing and account deletion.
5.2. Supported sign-in methods are email and password, Google OAuth and Microsoft OAuth. OAuth Users may later set a password in order to change the account email, where that capability is available.
5.3. Password reset is effected by a time-limited link sent to the registered email address. Expired links require a new request.
5.4. An Owner or Admin may change the Workspace name. That name may appear in emails, Portals and other communications sent to End Clients.
5.5. Deletion of the Owner account permanently deletes the Workspace, including clients, Portals, briefings, files and history, subject to residual backups retained for a limited period and any legal retention obligation. A Member who deletes only that Member’s account loses access to the Workspace; Workspace data is not deleted.
6. Team, roles and invitations
6.1. Seat limits are: Starter — one User; Pro — three Users; Agency — ten Users, unless otherwise agreed in writing.
6.2. Roles are as follows:
| ROLE | AUTHORITY |
|---|---|
| Owner | Full control, including billing. The Owner cannot be removed or reassigned. |
| Admin | Clients, Portals, team (subject to product rules regarding other Admins), billing, domains, SMTP and API keys. |
| Member | Day-to-day work on clients, Portals, briefings and files. No billing or administrative settings. Available on the Agency Plan. |
6.3. Team invitations expire after seven (7) days. Customer shall invite only authorized persons and shall revoke access promptly upon termination of the relevant relationship.
6.4. Team activity history is retained in the Service for thirty (30) days, after which events may be deleted.
7. Clients, portals and magic links
7.1. Customer may register End Clients (name, email and, if SMS or WhatsApp will be used, a telephone number in international format). Deletion of an End Client also deletes Portals attached to that End Client. That action is irreversible.
7.2. End Clients are not required to create an account. Access is effected solely through a Magic Link. Any person in possession of the link may open the relevant Portal. Customer shall treat each Magic Link as an access credential and shall transmit it only to the intended recipient.
7.3. Portal progress is saved automatically so that an End Client may resume completion at a later time.
7.4. Incomplete-briefing reminders, where enabled, may be sent no more than three (3) times per Portal, at a daily cadence, and cease if the trial or paid Plan ends. End Clients may opt out of email, SMS and WhatsApp reminders via the unsubscribe link included in those messages.
7.5. NNE is not a party to the commercial relationship between Customer and any End Client. Engagement terms, project timelines, deliverable rights and Customer’s charges to End Clients remain solely Customer’s responsibility.
8. Briefings and review
8.1. Customer constructs the briefing within the Portal. Following submission, Customer’s team may approve or reject fields, comment, request corrections and approve the briefing in full.
8.2. Portal review history records who submitted, approved or requested changes, and is retained for thirty (30) days, unless a longer period is required for operation of the Service.
8.3. Typical Portal statuses include draft/active and completed, as presented in the then-current interface.
9. Files and storage
9.1. Files may be uploaded by End Clients in a briefing and by Customer’s team on a Portal. Objects are stored on cloud object storage (currently Cloudflare R2 or an equivalent provider).
9.2. Included storage, unless an add-on applies:
| PLAN | STORAGE |
|---|---|
| Trial (14 days) | 1 GB · up to 5 Portals |
| Starter | 10 GB |
| Pro | 25 GB |
| Agency | 50 GB |
9.3. Optional expansions of +20 GB, +50 GB or +100 GB are billed as monthly add-ons at the prices then displayed on the Plans page.
9.4. When the storage quota is exhausted, further uploads are blocked until files are deleted or additional storage is purchased. Deleted files may remain listed as removed for Portal audit purposes.
9.5. Customer shall ensure that uploaded files do not infringe third-party rights, do not contain malware and are appropriate to the engagement. NNE may remove unlawful or harmful content.
10. Communications
10.1. The Service may send transactional and service emails, including account verification, password reset, team invitations, Portal invitations, reminders, review notices, storage alerts, support correspondence and operational notices.
10.2. On Starter and Pro, emails to End Clients are sent from the default NNE Briefing sender, unless Customer purchases the Connect Pro add-on or subscribes to Agency, each of which permits Customer SMTP.
10.3. Where Customer uses its own SMTP, Customer is the sender of record and is solely responsible for SPF/DKIM configuration, anti-spam compliance and a lawful basis to contact End Clients. NNE does not warrant deliverability of messages sent through Customer’s mail infrastructure.
10.4. SMS is sent via Brevo. WhatsApp is sent via Meta WhatsApp Cloud API using approved templates. Both consume workspace messaging credits. The free trial does not include SMS or WhatsApp credits.
10.5. Credit packs (for example, 100 or 500 credits) are paid add-ons. Unused credits are non-refundable, non- transferable between Workspaces, and may reset or lapse in accordance with the billing cycle and the then-current product rules.
10.6. Customer represents that it has obtained consent or another valid legal basis to send SMS and WhatsApp messages to each registered number, and that recipients may opt out. Customer shall comply with Meta policies, Brevo policies and applicable electronic communications and marketing laws, including, where applicable, the US Telephone Consumer Protection Act and similar statutes.
10.7. NNE does not warrant receipt, delivery time, or that a message will not be classified as spam by a recipient’s provider.
10.8. SMS is available only for End Client telephone numbers registered in supported countries, as listed in the Service (Plans add-ons, portal settings and documentation) and updated from time to time. As of the date of these Terms, SMS is supported for the United States, Canada and Australia. WhatsApp is sent from NNE’s US WhatsApp Business number via Meta WhatsApp Cloud API and may be delivered worldwide wherever Meta accepts the message for the recipient number, subject to Meta policies, local regulations and the recipient having WhatsApp installed. NNE may expand or restrict SMS supported countries without prior notice. SMS messages to unsupported destinations may be blocked and do not consume credits.
11. Artificial intelligence
11.1. The Service may provide (i) a briefing helper that suggests questions to Customer and (ii) answer assistance for End Clients inside a Portal, in each case subject to Plan, per-briefing and/or monthly limits and optional boost packs.
11.2. Base limits in effect as of the date of these Terms:
| PLAN | ANSWER ASSIST / BRIEFING | QUESTION SUGGESTIONS |
|---|---|---|
| Trial | 5 per briefing | 5 per Portal |
| Starter | 10 per briefing | Not included (optional boost) |
| Pro | 25 per briefing | 20 / month |
| Agency | 50 per briefing | 50 / month |
11.3. AI features use third-party models (currently OpenAI). Text submitted for generation or assistance may be transmitted to those providers solely to process the request, subject to their terms and policies.
11.4. AI output is machine-generated, may be inaccurate and does not replace human review. Customer and End Clients remain solely responsible for reviewing, editing and validating any output before relying on it.
11.5. Customer shall not use AI features to generate unlawful, deceptive or infringing content, or to extract data from other Workspaces or circumvent usage limits.
11.6. NNE does not warrant the continued availability of any particular model and may replace the AI provider, applying commercially reasonable care to the protection of data.
12. Integrations, API and webhooks
12.1. Customer may connect the Service to third-party applications, including Slack, Trello, Asana, monday.com, HubSpot, Zapier and Make, either natively or through the API and webhooks. Each integration is subject to the third party’s own terms.
12.2. API and webhook access is included in Agency, or via the Connect Pro add-on on Starter or Pro. Current limits: up to three API keys and three webhook endpoints per Workspace; sixty (60) requests per minute per Workspace, unless revised.
12.3. Webhook events may include briefing.submitted, briefing.approved and portal.published. Payloads are delivered over HTTPS, signed with HMAC, and may be retried up to three times.
12.4. API keys grant access to Workspace data, including briefing answers. Keys must be stored only on a secure server and must not be placed in a public repository or End Client browser. Customer shall revoke compromised keys immediately.
12.5. Customer is solely responsible for the destination endpoint, signature verification, replay protection and lawful use of received data.
13. Custom domains and white-label
13.1. Custom domains are available from Starter (one domain), Pro (three) and Agency (unlimited), so that a Portal may be served on a Customer hostname (for example, portal.youragency.com).
13.2. Customer shall configure DNS (CNAME and SSL/TXT records) as instructed in the Service, typically pointing to cname.nnebriefing.com. Activation depends on DNS propagation and verification. NNE does not control Customer’s registrar or DNS host.
13.3. Customer represents that it has the right to use each submitted domain. Customer shall not point domains belonging to third parties without authorization. NNE may disable domains that present legal, phishing or reputational risk.
13.4. Deep white-label (Customer SMTP) is included in Agency or Connect Pro. Use of Customer branding does not alter these Terms or NNE’s role as the technical operator of the Service.
14. Free trial
14.1. New Workspaces receive a fourteen (14) day trial with Pro-level features, limited to five Portals and 1 GB of storage, with no SMS or WhatsApp credits and no credit-card requirement.
14.2. Email reminders remain available during the trial. SMS and WhatsApp do not.
14.3. If no paid Plan is active at the end of the trial, the Workspace may be restricted to a limited free mode (for example, one Portal and one User), and paid features may be disabled. After reasonable notice, NNE may delete data in inactive or unpaid Workspaces, subject to applicable law.
14.4. Trials are personal and non-transferable. NNE may refuse successive trials associated with the same person, entity, payment method, email address or other identifiers in order to prevent abuse.
15. Plans, add-ons and billing
15.1. Recurring Plans in effect as of the date of these Terms, priced in United States dollars (USD), are:
| PLAN | MONTHLY | ANNUAL (EQUIVALENT / MONTH) | ANNUAL (BILLED IN ADVANCE) |
|---|---|---|---|
| Starter | US$ 29 | US$ 19 | US$ 228 |
| Pro | US$ 69 | US$ 59 | US$ 708 |
| Agency | US$ 119 | US$ 99 | US$ 1,188 |
15.2. Annual Plans are billed in advance for twelve months at the promotional monthly equivalent shown at checkout. Prices may change for subsequent renewal cycles upon reasonable prior notice. A cycle already paid will not be retroactively repriced.
15.3. Recurring payments are processed by Stripe. Customer authorizes charges to the designated payment method until cancellation. Invoices and payment-method updates are managed in the Stripe customer portal, accessible from the Plans page.
15.4. Upgrades may result in an immediate charge for the price difference or a new cycle, as presented at checkout. Downgrades may be scheduled for the end of the then-current period, with the existing Plan remaining in force until that date.
15.5. Optional add-ons, at the prices then shown on the Plans page, include extra storage; SMS/WhatsApp credit packs; AI boosts (answer assistance and briefing suggestions); and Connect Pro (Customer SMTP plus API/webhooks on Starter or Pro), currently US$ 19 per month. Agency includes SMTP, API, webhooks and the Member role.
15.6. Customer may cancel renewal at any time via the Plans page or the Stripe portal. Paid access continues until the end of the period already paid. Except where mandatory law provides otherwise, NNE does not provide pro- rata refunds for commenced billing periods, add-ons or consumable credits.
15.7. Taxes, foreign-exchange conversion, card-issuer fees and similar charges are Customer’s responsibility. NNE will issue such fiscal documents as are required by law applicable to its organization.
15.8. Failed payment may result in suspension until the account is brought current. NNE may retry charges in accordance with Stripe’s processes.
16. License codes and lifetime plans
16.1. Lifetime Plans may be activated only by a valid license code (for example, through campaigns, partners or marketplaces). Monthly and annual Plans cannot be activated by code and require Stripe checkout.
16.2. Each code is single-use, non-transferable after activation, and may not be applied to a lifetime tier lower than the tier already active.
16.3. “Lifetime” means a right to use the relevant Plan tier for so long as NNE offers the Service to the public. It is not a covenant to operate the company, any particular vendor, or identical functionality in perpetuity. If the Service is discontinued in full, the advance-notice process described in Section 28.4 applies, including with respect to access to the platform and stored files.
16.4. Codes obtained irregularly, resold without authorization, or already redeemed will be rejected. Activated lifetime licenses are non-refundable, except where mandatory law or the written policy of the originating sales channel (for example, a marketplace guarantee) requires otherwise.
17. Acceptable use
17.1. Customer shall not, and shall not permit others to:
- use the Service for unlawful, fraudulent or phishing purposes;
- transmit spam, malware or content that infringes third-party rights;
- copy, reverse engineer or exploit the Service except as permitted by law that cannot be waived;
- circumvent technical limits, captcha, CSRF protections, rate limits or billing;
- access Workspaces, Portals or data of third parties without authorization;
- use Magic Links, webhooks or the API in a manner that exposes End Client data;
- misrepresent the technical operator of the Service in a manner likely to constitute fraud (legitimate agency white-label remains permitted); or
- upload content involving child sexual exploitation, incitement to crime, or other illegal material.
17.2. NNE may investigate suspected violations, suspend accounts and report matters to competent authorities where legally required or where there is a serious risk of harm.
18. Customer content
18.1. As between the parties, Customer (or its licensors) retains all right, title and interest in Customer Content. Customer grants NNE a worldwide, non-exclusive license, for the term necessary, to host, copy, process, transmit and display Customer Content solely to provide, secure and improve the Service (including backups, content delivery, contracted AI processing and notifications).
18.2. Customer represents that it has all rights and a valid legal basis to submit User and End Client data to the Service and to any processors or integrations that Customer enables.
18.3. Customer is solely responsible for the quality of its briefings, its commercial relationship with End Clients, project performance, and its subsequent use of collected responses.
19. Intellectual property
19.1. The Service, software, NNE Briefing marks, logos, layout, documentation, institutional copy and databases are owned by NNE or its licensors. These Terms grant no assignment of intellectual property. Customer receives only a limited, non-exclusive, non-transferable, revocable right to access the Service as SaaS during the term of a valid Plan or trial.
19.2. Customer shall not copy, sublicense or resell access (except through authorized channels), use the marks in a competing product, or adopt names or domains likely to cause confusion with NNE Briefing.
19.3. Feedback provided to NNE may be used without obligation of compensation, provided it does not disclose Customer’s identifiable trade secrets.
20. Confidentiality
20.1. Each party shall protect the other party’s non-public information obtained in connection with the Service with no less than reasonable care, and in any event with the same degree of care it uses for its own confidential information.
20.2. Confidentiality does not apply to information that is public, independently known without breach, or required to be disclosed by law, court order or competent authority. Where legally permitted, the disclosing party will use reasonable efforts to notify the other party.
21. Data protection
21.1. Each party shall comply with data-protection laws applicable to its role, including, where they apply, the EU General Data Protection Regulation, the UK GDPR, and the California Consumer Privacy Act (as amended).
21.2. In respect of account, authentication and billing data of Users, NNE acts as an independent controller (or “business”).
21.3. In respect of End Client data, briefing answers, files, telephone numbers and other Customer Content, Customer is the controller (or “business”) and NNE is the processor (or “service provider”), acting on Customer’s documented instructions and these Terms.
21.4. Typical categories include User identity and contact details; agency information; End Client name, email and telephone number; briefing content; files; technical logs; payment data processed by Stripe (NNE does not store full card numbers); and session or security identifiers.
21.5. NNE processes controller-held data to create and authenticate accounts, provide the Service, bill, prevent fraud and abuse, comply with law, communicate regarding the Service, and improve the platform on a lawful basis.
21.6. Sub-processors may include hosting and database providers; Cloudflare (including R2 and Turnstile); Stripe; OpenAI (AI features); Brevo (SMS); Meta (WhatsApp); email providers; and Google and Microsoft (OAuth, if selected by the User). The list may change. International transfers will be effected with appropriate safeguards.
21.7. Infrastructure and vendors may be located outside Customer’s country. Customer authorizes such transfers to the extent required to provide the Service.
21.8. Data-subject requests relating to End Client data should ordinarily be directed to Customer as controller. NNE will provide reasonable assistance. Requests concerning User account data may be sent to support@nnebriefing.com.
21.9. NNE will notify Customer without undue delay of a personal-data breach affecting Customer Content, and will notify individuals or authorities where legally required.
21.10. Customer shall use the Service in a manner consistent with applicable privacy law, inform End Clients of collection through the Portal, and honor opt-out of reminder communications.
22. Security and cookies
22.1. The Service uses cookies and similar technologies that are strictly necessary for authentication, session management, CSRF protection, security preferences and, where enabled, Cloudflare Turnstile on registration and other sensitive flows.
22.2. NNE maintains commercially reasonable technical and organizational measures, including encryption in transit, access controls, CSRF protection, rate limiting, password hashing and webhook signing. No system is perfectly secure. Customer shall use strong passwords, protect Magic Links and API keys, and keep its devices updated.
22.3. Security testing (including penetration testing and aggressive scanning) is prohibited without NNE’s prior written consent.
23. Third-party services
23.1. The Service depends on or interoperates with third parties, including, without limitation: Stripe (payments); Cloudflare (CDN, R2 storage, Turnstile); OpenAI (AI); Brevo (SMS); Meta Platforms (WhatsApp Cloud API); Google and Microsoft (sign-in); email providers; and, if enabled by Customer, Zapier, Make, Slack, Trello, Asana, monday.com and HubSpot.
23.2. Those services are governed by their own terms. NNE does not control their availability, content policies or incidents exclusive to them, and is not liable for failures attributable solely to them beyond the limitation of liability in these Terms.
24. Availability and support
24.1. The Service is provided on an “as available” basis. NNE uses commercially reasonable efforts to maintain availability, but interruptions may occur for maintenance, updates, vendor failures or events beyond NNE’s reasonable control.
24.2. These Terms do not include a service-level commitment unless a separate written enterprise agreement so provides. Support priority follows the Plan (Pro and Agency receive priority relative to Starter, to the extent operationally reasonable).
24.3. The official support channels are support@nnebriefing.com and the Contact Us form in the application.
25. Warranties and disclaimers
25.1. To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranty of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. NNE does not warrant that End Clients will complete briefings, that AI output will be accurate, or that the Service will be uninterrupted or error-free.
25.2. Nothing in these Terms excludes any warranty or right that cannot be excluded under mandatory law of a competent jurisdiction.
26. Limitation of liability
26.1. To the maximum extent permitted by law, NNE shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, or business interruption, even if advised of the possibility of such damages, arising out of or related to the Service or these Terms, whether in contract, tort (including negligence) or otherwise.
26.2. NNE’s aggregate liability for all claims arising out of or relating to the Service or these Terms in any twelve- month period shall not exceed the amounts actually paid by Customer to NNE for the Service in the twelve (12) months preceding the event giving rise to the claim or, if Customer is on a free trial and has paid nothing, fifty United States dollars (US$ 50).
26.3. The foregoing limitations do not apply to liability that cannot be limited under mandatory law, including liability for fraud or willful misconduct.
27. Indemnity
Customer shall indemnify, defend and hold harmless NNE and its officers, directors and employees from and against any third-party claim (including a claim by an End Client) arising out of: Customer Content; Customer’s use of Portals, Magic Links, SMTP, SMS, WhatsApp, the API or integrations; Customer’s breach of these Terms or applicable law; or Customer’s infringement of intellectual-property or data-protection rights, except to the extent the claim arises solely from NNE’s willful misconduct.
28. Suspension and termination
28.1. Customer may decline to renew a Plan and may delete its account in settings.
28.2. NNE may suspend or terminate access, with or without prior notice depending on severity, in the event of non-payment, breach of these Terms, a security risk, or a legal requirement. Full discontinuation of the Service is governed by Section 28.4.
28.3. Upon termination, the right to use the Service ceases. NNE may delete Customer Content within a reasonable period, subject to residual backups and legal duties. Customer is responsible for exporting data before account deletion, using the means then available in the interface or by a reasonable support request.
28.4. If NNE Briefing is discontinued in full, NNE will send advance notices to registered Users with up to one (1) year of prior notice, by means of five (5) emails distributed over that period, before access to the platform, data and stored files is terminated. Notices will be sent to the email associated with the account and, where applicable, to other workspace contact emails. Customer remains responsible for exporting or migrating Customer Content during that period, using the means available in the interface or by a reasonable support request.
29. Changes to these Terms
29.1. NNE may amend these Terms to reflect legal, product or commercial changes. The current version will be published through official channels, with its effective date.
29.2. Material changes will be notified by email or in-product notice with reasonable advance notice where practicable. Continued use after the effective date constitutes acceptance. If Customer does not agree, Customer must stop using the Service and cancel the Plan before the new Terms take effect.
30. Governing law and disputes
30.1. These Terms, and any dispute arising out of or relating to them or the Service, shall be governed by the laws of the State of Delaware, United States of America, without regard to conflict-of-law principles, except that mandatory consumer-protection or data- protection rules of Customer’s country of residence will apply to the extent they cannot be waived and Customer is entitled to their protection.
30.2. The parties shall first attempt in good faith to resolve any dispute through the support channel for fifteen (15) days after a written notice of dispute.
30.3. Subject to Section 30.1, the state and federal courts located in Delaware shall have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
30.4. THE PARTIES WAIVE ANY RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS, COLLECTIVE OR REPRESENTATIVE ACTION, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
31. Notices
Notices under these Terms shall be given as follows:
- to NNE: support@nnebriefing.com;
- website: https://nnebriefing.com;
- application: https://app.nnebriefing.com;
- API: https://api.nnebriefing.com; and
- to Customer: the email address associated with the Owner account.
Email notice is deemed received on the next business day after sending, unless the sender receives a delivery- failure notice.
32. General
32.1. If any provision is held unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
32.2. Failure to enforce a provision is not a waiver. A waiver must be in writing to be effective.
32.3. Customer may not assign these Terms without NNE’s prior written consent, except to a successor in connection with a merger or sale of substantially all assets, provided the assignee is not a competitor and assumes these Terms. NNE may assign these Terms to an affiliate or successor.
32.4. These Terms, together with the checkout record, invoices and published policies, constitute the entire agreement regarding the Service and supersede all prior discussions on the same subject, including any reference to the former name “Briefly”.
32.5. The English language version of these Terms is controlling. Any translation is provided for convenience only.
32.6. The parties are independent contractors. These Terms do not create a partnership, joint venture, employment or agency relationship.
32.7. Effective date: 16 August 2026. Version 1.0.
